Terms & Conditions

These Terms & Conditions are a binding agreement between you and LocalShopWala for use of our website, apps, and related services.

By registering or using LocalShopWala, you also agree to our Privacy Policy, Cookie Policy, Cancellation & Refund Policy, Service Delivery Policy, and the other policies listed in the Legal Centre (including Grievance, Account Deletion, Acceptable Use, Writing Assistance, Shop Owner, and Customer policies).

If you accept on behalf of a business, you confirm you are allowed to bind that business. If you do not agree, do not use the service.

LocalShopWala is a digital software platform for local shopkeepers. We provide tools for counter billing, inventory, digital khata, purchase orders, and an online shop page.

We are not a marketplace, seller, broker, courier, or payment collector for goods sold by shops to customers. The contract of sale for products is always between the shop and the customer.

• You must be at least 18 years old (or the age of majority where you live)
• You must be able to enter a legal contract under Indian law
• Shop owners must run (or be authorised to run) a genuine local business
• You must not be barred by law or by a past suspension from LocalShopWala
• You must give true registration details and keep them updated

Most features need an account with a valid mobile number and a one-time login code sent to that number. You may also add an email and shop details.

• Give true and complete details
• Keep your details up to date
• Never share your login codes or passwords
• Tell us at once of any misuse at support@localshopwala.com
• You are responsible for activity under your account

We send one-time login codes by SMS (or similar) to confirm it is you.

• Delivery depends on your mobile network — delays outside our control may happen
• Never share a login code with anyone, including people claiming to be from LocalShopWala
• We will never ask for your login code, UPI PIN, or full card details by phone or unsolicited message
• Too many failed attempts may temporarily lock the account for safety

• Use LocalShopWala only for lawful purposes
• Do not try to break into accounts or systems
• Do not harm or overload the service
• Do not copy or reverse-engineer the software except where the law allows
• Do not upload harmful software
• Respect our and others’ intellectual property
• Follow consumer, tax, GST, and data protection laws that apply to you

LocalShopWala provides software tools. We are not the seller, agent, or party to sales between a shop and its customers. Shop owners alone are responsible for:

• Correct product names, photos, prices, and stock
• Licences, labelling, and any restricted-goods rules for what they sell
• Correct GST and other taxes — calculate, collect, and pay as required under Indian tax law
• Packing, delivery, and customer service
• Accepting, partly accepting, or rejecting online orders when stock changes
• Returns, refunds, and customer disputes
• Customer bills and tax invoices for product sales (including when an invoice becomes available after an order is completed)
• Telling customers how their data is used and obtaining consent where needed
• Training and authorising staff
• Keeping proper books of account and stock records
• Everything published on their shop page, including text suggested by writing tools after the owner reviews it

• Give correct name, phone, and delivery address when ordering
• Pay by the method the shop accepts (currently cash on delivery or pay at shop for online orders)
• Save a full address to your account only if you choose to
• Speak respectfully with the shop about orders
• Understand that LocalShopWala is not the seller of the products
• Raise product, delivery, and refund issues with the shop first

We offer Free, Monthly, Yearly, and other published plans. Features and prices are shown in the app and may change with notice.

• Free plan — limited features at no charge
• Monthly and Yearly plans — paid access for a fixed period (one month or one year, as shown at checkout)
• You can change or renew plans from your account when a period ends
• Plan fees are for LocalShopWala software access only — not for goods sold by shops to customers
• Applicable GST or other taxes may be charged as required by law

Plan fees and AI credit pack fees are collected through Cashfree Payments, our authorised payment partner. Product orders on shop pages currently use cash on delivery or pay at shop with the shop — we do not collect online payment for product orders.

At present, LocalShopWala does not use automatic payment, auto-debit, or recurring subscription billing. Each paid plan period and each AI credit pack is a separate, one-time payment that you start yourself at checkout. When a paid period ends, you renew manually if you want to continue on a paid plan.

We may introduce automatic renewal or recurring billing in the future. If we do, we will give clear notice in the app or by email, and we will only turn it on with your consent as required by law. Until then, no recurring mandate is created for LocalShopWala plan fees.

• Fees are in Indian Rupees (INR) unless stated otherwise
• Taxes may be added as required by law
• Failed payments may lead to suspension of paid features
• We do not store full card numbers, CVV, UPI PIN, or net-banking passwords
• Raise plan or AI credit billing issues with us at support@localshopwala.com within thirty (30) days

Cancellation of paid plans and any payment refunds for plans or AI credit packs follow our Cancellation & Refund Policy.

Once Cashfree confirms successful payment and your paid subscription is activated, or AI credits are added to your balance, the fee for that purchase is final and non-refundable. Ending a plan early does not refund an activated period or credits already added.

• No refund after successful payment and plan activation (including change of mind, non-use, or switch to Free plan)
• No refund after AI credits are successfully added to your shop balance (including unused credits)
• Refund may be considered only if money was received but the plan was not activated or credits were not added — for example stuck or failed payment, or a verified duplicate debit
• Refunds for products sold by a shop are the shop’s duty, not LocalShopWala’s
• Disputing a bank charge without contacting us first may lead to account review

You may stop using a paid plan anytime from account settings or by writing to support@localshopwala.com. Full detail is in the Cancellation & Refund Policy.

• You keep paid features until the end of the paid period already billed
• Because we do not currently auto-renew, no further plan charge is taken unless you start a new payment yourself
• You may then move to Free plan limits
• Ending a plan does not refund amounts already paid for an activated subscription
• Ending a plan does not refund AI credits already purchased and credited
• Ending a plan does not delete your account — see Account Deletion Policy
• We may suspend or close accounts that break these Terms without a refund, except where Indian law requires otherwise

LocalShopWala’s software, design, logos, and documentation belong to us or our licensors. You get a limited right to use the service — not ownership of the software.

Shop owners keep ownership of their own product lists, photos, and branding they upload, subject to the limited licence in Section 14.

While you follow these Terms and pay any fees due, you may use LocalShopWala for your own business. You may not resell the software, build a competing copy from it, or remove our ownership notices.

You allow us to host and process your shop data only as needed to run and improve the service, as described in the Privacy Policy.

Suggested product text is for help only. You must check and approve it before publishing. You must not use it to make false or illegal claims. See our Writing Assistance (AI Usage) Policy.

LocalShopWala provides software so a shop can publish an online shop page and receive orders. We are a technology platform only. We are not the seller, stockist, courier, payment collector for product orders, or a party to any sale between a shop and a customer.

We are not responsible for stock availability, partial acceptance of orders, prices, product quality, packing, delivery, pickup, delays, cash-on-delivery or pay-at-shop payments, refunds or returns for goods, customer–shop disputes, invoices issued by the shop, or any other issue arising from an online or in-shop order. Those matters are solely between the shop and the customer.

• Shop owners decide whether to accept, partly accept, or reject an order (for example when stock is short)
• Customers may receive a notification when an order is partly accepted; the order details in the app show which items were accepted
• A customer bill or tax invoice for an online order is generated only after the shop marks the order as completed — not when the order is merely placed or accepted
• Shop owners control content, prices, hours, and whether to accept online orders
• LocalShopWala hosts the tools — we are not a party to the sale and do not guarantee fulfilment
• We may remove pages that break the law or our Acceptable Use Policy
• Shop owners must show correct contact details and follow e-commerce and consumer rules that apply to them

You must not use LocalShopWala for illegal activity or to sell or promote, among other things:

• Illegal drugs or controlled substances
• Weapons, explosives, or ammunition
• Counterfeit or stolen goods
• Tobacco, alcohol, or age-restricted goods without required licences
• Prescription medicines without proper authorisation
• Adult or obscene content and escort services
• Unlawful gambling or betting
• Hate content, pyramid schemes, or other fraud
• Anything else banned under Indian or local law

We aim to keep LocalShopWala available, but we do not promise uninterrupted service. Maintenance, partner outages, or events beyond our control may cause downtime. We are not liable for losses from downtime except where the law says otherwise.

Login codes, plan payments (Cashfree), images, maps, email, and SMS may be provided through trusted partners. Their own terms apply to their services. We are not responsible for their failures beyond what the law requires.

To the fullest extent allowed by law, LocalShopWala is provided “as is”. We do not promise that it will meet every business need, generate sales, or that suggested writing will always be perfect. Some rights cannot be excluded by law — those remain.

To the fullest extent allowed by law:

• We are not liable for indirect or consequential loss (including lost profits or data)
• Our total liability for a claim is limited to the greater of (a) fees you paid us in the twelve (12) months before the claim, or (b) ₹5,000
• We are not liable for disputes, refunds, product faults, delivery failures, stock shortages, partial order acceptance, missing or late invoices for shop sales, or tax issues between shops and customers
• We are not liable if someone uses your account because you shared a login code
• Nothing here limits liability that Indian law does not allow us to limit (for example fraud)

You agree to protect LocalShopWala from claims and costs arising from your misuse of the service, your products or shop content, breaking these Terms or the law, tax or licence failures in your business, or disputes with your customers or staff.

• You may stop using the service and cancel your plan at any time
• We may suspend or close an account for breach, fraud, non-payment, or legal requirement
• We may discontinue features with reasonable notice where possible
• After closure, data handling follows the Privacy Policy and Account Deletion Policy

We are not liable for failure caused by natural disasters, epidemics, war, government action, power or internet failure, strikes, or partner outages beyond our reasonable control. We will try to resume service when we can.

These Terms are governed by the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019 (where it applies), and the Digital Personal Data Protection Act, 2023 (as applicable).

First write to support@localshopwala.com and allow thirty (30) days for a good-faith solution. If that fails, disputes may go to mediation or arbitration by written agreement, or to the courts named in Section 27.

Subject to Section 26, courts at our contact address in India have jurisdiction, unless the law requires otherwise. Legal notices: Bhagalpur, Bihar, India.

These also form part of your agreement: Privacy Policy, Cookie Policy, Cancellation & Refund Policy, Grievance Policy, Service Delivery Policy, Account Deletion Policy, Acceptable Use Policy, Writing Assistance Policy, Shop Owner Policy, Customer Policy, and Data Handling Summary. If a specific policy covers a topic more clearly, that policy applies on that topic.

We may update these Terms. Important changes will be shown in the app or by email. Continued use after the new date means you accept the update, unless the law requires a fresh consent. If you disagree, stop using the service and cancel your plan.
